I am very concerned about the Affiliate members gaining the rights and privileges of Regular members. I truly believe that for profit vendors should not be voting on issues that likely could be a conflict of interest. And I think it will be a potential conflict of interest for membership on the Board and on committees. The committees that actually exist have vendors on the committees which is a violation of current by laws. NCCA has done this and now the majority of Board members are vendors. Just because they did that does not make it right.

In addition to the comments, where/what is the due process for removal of a Board member or a regular member. There needs to be more than a vote of the Board. How is the person notified? What type of response is allowed to the action? That seems to be a more democratic way of handling a dismissal.

The By Laws currently in effect state that a standing committee is a ByLaws committee. Where is it and who from membership is on the ByLaws committee. I think a committee needs to thoroughly review all of the bylaws and properly propose changes.

Thank you for the opportunity to post comments. After reviewing both the current and proposed bylaws, I have a couple concerns. First, do the proposed changes violate the Articles of Incorporation? Second, are they consistent with DC Not for Profit law? And, has an attorney reviewed the proposed changes (and current bylaws) for the two questions posed, as well as other subject matter that may be missing?

An additional comment is whether or not the membership has taken the time to review the current versus the proposed bylaws in an informed manner. Are the proposed changes clearly noted for those who will be voting? Has the rationale for the changes been presented? And has the membership had an opportunity to question and comment about the proposed changes, other than this forum, which may not be read by all who are voting.
